LICENSE AGREEMENT: TERMS AND CONDITIONS OF USE
IMPORTANT NOTICE. THIS LICENSE AGREEMENT IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY) AND Northland Software Studio OR ANY SUBSIDIARY, AND ITS THIRD PARTY LICENSORS (Nolan Software Studio). BY INSTALLING OR USING THIS SOFTWARE OR ASSOCIATED HARDWARE COMPONENTS IN ANY WAY YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THIS SOFTWARE AND ASSOCIATED HARDWARE COMPONENTS IN ANY WAY.

LICENSE GRANT. Nolan Software Studio grants you a non-exclusive license to use this software, its associated documentation and any updates or upgrades (collectively, the Software) and any associated dongles, license keys or other enforcement mechanisms (Hardware Component) as indicated herein. Nolan Software Studio offers two different license options for users as further defined below:

(i) Perpetual License. Once in use as defined above, the Software is permanently licensed to that drive. Use of the Software on any other drives other than the originally licensed number of drives is not permitted without the payment of an additional licensing fee. You may use the Software for internal purposes only, on the number of licensed drives authorized and agreed upon at the time of purchase.

(ii) Term License. If the Software is to be used for commercial or financial gain including, but not limited to, performing technical or consulting services, a Term License must be purchased. If you have purchased a Term License, you may use (as that term is defined above) the Software and its associated Hardware Component, for commercial or financial gain, or as otherwise authorized for your internal business purposes, for the renewable license term agreed upon at the time of purchase.

OTHER RESTRICTIONS. You shall not: (a) remove any product identification, copyright notices, or other notices or proprietary restrictions from this Software; (b) sell, lease, rent, copy or distribute this Software and any associated Hardware Component to another; (c) use this Software for commercial or financial gain including, but not limited to, use in performing technical or consulting services, without purchasing a Term License from Nolan Software Studio; (d) cause or permit reverse engineering, disassembly, decompilation or alteration of this Software except to the extent such restriction is expressly prohibited by applicable law; or (e) use the Software for competitive analysis purposes. Any third party programs included in the Software or Hardware Component are subject to restricted use licenses and can only be used in conjunction with the Software or Hardware Component and not as a stand-alone program. You may make one copy of the Software solely for backup or archival purposes. You may not copy any Hardware Component.

ASSIGNMENT. You may not assign or transfer the rights or obligations under this Agreement to another party without the express written consent of Nolan Software Studio. Any attempt to assign the Agreement without Nolan Software Studio's consent shall be null and void.

TERM. Your failure to comply with any term or condition of this Agreement, including failure to pay the license renewal fees, if any, as they become due, shall result in termination of your license to use the Software and any associated Hardware Component(s). Upon termination, you shall discontinue all use of the Software, destroy the Software, together with all copies thereof, and return any associated Hardware Component(s).

COPYRIGHT/OWNERSHIP. This Software, its source code and any associated Hardware Component are proprietary products of Nolan Software Studio and are protected by copyright and other intellectual property laws. The Software is licensed and not sold. You acquire only the right to use the Software and do not acquire any rights, express or implied, in the Software or media containing the Software other than those specified in this Agreement. Nolan Software Studio shall at all times retain all rights, title, interest, including intellectual property rights, in the Software and media, and any associated Hardware Component(s).

TRADEMARKS. Photo Lucky Draw and other Nolan Software Studio brand and product names referred to herein are trademarks or registered trademarks of Northland Software Studio and/or its parent company. All other brand and product names are trademarks of their respective owners.

EXPORT RESTRICTIONS. You agree to comply fully with all laws and regulations of the United States and other countries (Export Laws) to assure that neither the Software, nor any associated Hardware Component, are (1) exported, directly or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation.

None of the Software or underlying information or technology, or any associated Hardware Component, may be downloaded or otherwise exported or re-exported

(i) into (or to a national or resident of) any country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's List of Specially Designated Nationals or the U.S. Commerce Department's Table of Denial Orders. By downloading or using the Software, you are agreeing to the foregoing and you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country or on any such list.

AUDIT RIGHTS. You shall maintain accurate records containing all necessary data required for verification of compliance with the terms of this Agreement. Nolan Software Studio may, during normal business hours and upon reasonable prior notice to you, audit and analyze you records to verify compliance hereunder.

DISCLAIMER OF WARRANTIES. THIS SOFTWARE IS DISTRIBUTED 'AS IS' AND YOU, ITS USER, ASSUME ALL RISKS WHEN DOWNLOADING OR USING IT. THERE ARE NO WARRANTIES EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE. Nolan Software Studio DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Nolan Software Studio DOES NOT WARRANT THAT THE SOFTWARE IS NON-INFRINGING, THAT IT WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED, ERROR-FREE OR VIRUS-FREE.

LIMITATION OF LIABILITY. IN NO EVENT SHALL Nolan Software Studio BE LIABLE FOR ANY DAMAGES OF ANY KIND INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (WHICH SHALL INCLUDE WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS OR PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) WHETHER BASED ON CONTRACT, TORT OR OTHER LEGAL THEORY, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF Nolan Software Studio HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

MISCELLANEOUS. In the event of invalidity of any provision of this Agreement, the parties agree that such invalidity shall not affect the validity of the remaining portions.. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed. This is the entire agreement between you and Nolan Software Studio, which supersedes any prior or subsequent agreement, including your purchase order terms, whether written or oral, relating to this subject matter.
